Nabarro deal for the deal people

Nabarro LLP has implemented an innovative buyback tender offer for longstanding client, Dealogic (Holdings) plc. Dealogic, which provides deal information and software and services, is buying back up to £46 million of its share capital from shareholders through a tender offer made by J. P. Morgan Cazenove.

The transaction was pulled together in less than a week and involved a potential doubling in the size of the offer dependent on arranging a bank facility following the announcement of the offer. The facility was arranged with HSBC within a week of announcement.

The Nabarro team was led by corporate partners, Iain Newman and Kristy Duane with assistance from Nicole Tumiati and Jonathan Ling (corporate) and Nick Burt and Adam Singer (tax) and Clive Swillman and Catrin Evans (finance). J. P. Morgan Cazenove was advised by Norton Rose LLP. HSBC was represented by Pinsent Masons LLP.
