Nabarro has advised Care UK on its £48m purchase of Harmoni, the UK's largest GP out of hours provider based primarily in London and the South East.
The combined organisation will provide unscheduled care to more than 15 million patients. Harmoni is also one of the leading contractors for the new NHS '111' call services which help people find the right medical support quickly, when it's not a '999' emergency. Harmoni also provides offender health services for various English prisons.
Patrick Speller, corporate partner, led the Nabarro team which also included employment partner Tracey Marsden and pensions partner Anne-Marie Winton.
Mike Parish, Care UK Chief Executive said:
"Bringing Harmoni into Care UK’s healthcare organisation will help us to help commissioners within the NHS make the most effective use of their resources, making sure that unscheduled treatment, including out of hours needs, takes place in the most appropriate setting."
Patrick Speller, corporate partner at Nabarro, said:
"We have worked on a number of major transactions for Care UK over the last 18 months including its acquisition of thirty care homes from Southern Cross and specialist medical imaging and scanning business SMI Ltd. The strategically important advice we've been able to provide is built on the back of an increasingly successful team of lawyers specialising in the healthcare sector at Nabarro."
Other recent healthcare sector deals on which Nabarro has advised include:
Health Care REIT's acquisition of a portfolio of five residential care homes in the UK;
the launch of Primary Health Property's £75m retail bond – a first for the industry;
Care UK's acquisition of Whitwood Care, a specialist adult residential care operator;
