Nabarro law firm acts on EDS’s acquisition of two AVIVA data centres

Nabarro law firm has advised long-standing client Electronic Data Systems Limited (EDS) on the acquisition of two data centres in Norwich from Aviva. The deal which recently exchanged will complete in July 2009. EDS will manage the data centres as part of a 10 year, $1 billion (£700 million) service contract.

EDS (which won the contract in a competitive tender) will transform, modernise and manage the two data centres it will acquire from Aviva, the world’s fifth largest insurer, in order to reduce Aviva’s operational costs, improve information access and increase flexibility. EDS will introduce new technologies such as virtualisation to achieve an improved service. Approximately 300 Aviva employees will transfer to EDS to help deliver these services.

Real estate partner Belinda Solomon led the Nabarro team on the transaction, assisted by real estate associates Louise Jones and Ben Everitt; planning partner Joshua Risso-Gill and associate Nicola Insley; construction partner Penny Moore and associate Oliver Youngman; and tax partner Nick Burt. EDS’s in-house legal team advised on the services agreement. Aviva used in-house lawyers on the property aspects of the transaction, and Clifford Chance for the services agreement.
