Nabarro advises Group NBT on £4m acquisition of Envisional Solutions Ltd

Nabarro has advised Group NBT, the AIM-listed domain name management and web hosting company, on the acquisition of Envisional Solutions Ltd (Envisional), a provider of brand protection services, for a maximum consideration of £4 million.

Group NBT is an AIM-listed company, and is Europe’s largest domain name manager and one of the UK’s largest providers of website hosting services.  Envisional uses artificial intelligence technology to help companies protect themselves against brand infringement and internet fraud.  Group NBT already provides entry-level services to this market, and will now be able to provide its customer base with comprehensive brand management, monitoring and protection services.

This acquisition is strategically important for Group NBT, which will acquire 100% of the equity of Envisional, with the maximum consideration of £4 million being split between cash and paper.  The cash element is linked to the achievement of certain revenue targets for the financial years 2007, 2008 and 2009. 

The team at Nabarro who advised Group NBT was led by corporate partner, Richard Beavan, assisted by corporate associate, Alexandra Marsh.  Specialist help also came from Tracey Sheehan from the IT team, Toby Cummins from IT, Helen Butler from pensions, Graham Muir from employee tax, and Emma Tuppen and Kirsten Pritchard Jones from the tax team.  Hewitsons of Cambridge advised for the sellers, who included professional investors, founders, employers and former employers.
